Terms of Service
IMPORTANT — PLEASE READ. SECTION 19 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT, A CLASS-ACTION WAIVER AND A JURY-TRIAL WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS (SECTION 19.8). THE SERVICE IS NOT AN AUDIT AND NOT ADVICE (SECTIONS 3 AND 4). YOU DO NOT RELY ON IT FOR ANY DECISION (SECTIONS 6A AND 6B). SECTIONS 12 AND 13 DISCLAIM WARRANTIES AND LIMIT OUR LIABILITY.
Version US-2026-10-25.6.
1. The agreement and the parties
These Terms of Service ("Terms") are an agreement between the business that registers for Ranalystix ("Customer", "you") and Orly Roah & Co. Ltd., a company organised in Israel (company no. 514087774) ("we", "us"). The Privacy Policy and the Customer Data Addendum form part of these Terms. You accept them by ticking the box and clicking Accept on the sign-up screen; the version you accepted, and when, is recorded. The person who accepts represents that they are at least 18 and authorised to bind the Customer.
2. Business use only
The service is offered only to businesses and to professionals acting for a business — never to consumers for personal, family or household purposes. You represent that you are registering, and will use the service, solely for business purposes. You will not register an individual consumer account or let anyone use the service for personal financial matters.
3. What the service does
Ranalystix is software. It reads financial documents that you upload — financial statements, filings, exports from bookkeeping software and tax returns — and presents the figures they contain as statements, ratios, measures and charts, with an industry reference figure drawn from published third-party data. It runs automated checks on its own reading and withholds a figure that does not reconcile to the totals printed in your document. That is all it does.
4. What the service is not — please read
- Not an audit, review, compilation or attestation. We do not verify your documents against any external source and express no opinion or assurance.
- Not advice. Nothing in the service is accounting, tax, legal, financial, credit or investment advice or a recommendation. We are not an investment adviser, broker-dealer, accountant, lender, or credit-rating agency, and using the service creates no advisory, fiduciary or professional relationship. Measures and industry figures are general and impersonal, are not adapted to anyone's circumstances, and are not a target, a rating or a score.
- Not a financial statement. The output is a view of your own figures for your internal use. You will not present it to any lender, investor, authority or other third party as a prepared, reviewed or audited financial statement, and you will not remove, alter or obscure the notice that opens every file exported from the service when you share it.
- Not a credit, underwriting or loan-decision tool. The service does not decide, score or recommend any extension of credit, loan, guarantee or investment. A lender or broker using it remains solely responsible for its own underwriting, its credit decisions and its compliance with the laws that govern them, including the Equal Credit Opportunity Act and any state lending law.
- Not a consumer report. The service is not a consumer reporting agency, and you will not use the output, in whole or part, as a factor in establishing any individual's eligibility for credit, insurance, employment or any other purpose under the Fair Credit Reporting Act.
5. Your documents and your data
You keep all rights in the documents you upload and in your data. You grant us a limited licence to host, copy, process and display them only to provide the service to you, as the Customer Data Addendum describes. You represent that you have every right, authority and consent needed to upload each document, including any personal information about employees, customers or other individuals it contains, and that doing so does not breach any law or obligation of confidence. Documents of another business. Where you upload documents of a business you do not own — for example, a seller's tax returns or statements in a proposed acquisition, or a borrower's statements — you represent that you obtained them lawfully and with that business's permission (for example under a confidentiality agreement), that your use complies with every term on which you received them, and that you alone are responsible to that business for their use. You will not upload documents that you are not entitled to use. Keep your own copies: the service is not an archive.
6. Automated extraction can be wrong — your responsibility to verify
The output is produced automatically from documents of many layouts. Despite the checks the service runs, a figure may be misread, misclassified or missing; a document may be read for the wrong period or in the wrong units; and a figure present in your source may be withheld. You are responsible for checking every figure you rely on against your source documents and with your accountant before any decision. The service shows the source of each figure so that you can.
6A. Your decisions are yours — no reliance
You acknowledge and agree that: (a) you are not relying, and will not rely, on the service or any output as the basis, or as a substitute for your own investigation, for any decision to lend, borrow, guarantee, invest, buy or sell a business or an interest in one, or any other financial, credit, tax or legal decision; (b) every such decision is made by you alone, with the professional advisers you choose (such as a CPA, an attorney or a lender); (c) we have made no representation about any business, any figure or any outcome other than those expressly stated in these Terms; (d) the acknowledgments you give in the application — including the acknowledgment shown before the screens of a business you are buying — form part of these Terms; and (e) in deciding to subscribe and in using the output, you have not relied on any statement about the service made outside these Terms, including on our website, in marketing material, in a demonstration or by the AI helper.
6B. Business acquisitions, loan figures and SBA references
Where you use the service to look at a business you are considering buying, or to see the coverage of a loan you are considering:
- Arithmetic on the documents, nothing more. Seller's discretionary earnings, debt-service coverage, the ratio of a loan to a purchase price and every similar figure are calculations on the figures printed in the documents you upload and on the loan terms and price you enter. They are only as complete and as accurate as those documents and entries.
- The seller's documents may be incomplete or wrong. Tax returns and statements prepared by or for a seller may omit liabilities, include personal or non-recurring items, or be inaccurate, and the service cannot detect this.
- Not due diligence, not a valuation. The output is not financial, legal, tax or commercial due diligence, not a quality-of-earnings review, not an appraisal or valuation, and not an opinion on a price, a loan or a transaction.
- SBA and lender references. Any threshold, ratio or rule of the U.S. Small Business Administration or of a lender is quoted for reference only, as published at the time, and may have changed. Whether a loan is made, and on what terms, is decided solely by the lender and, where relevant, the SBA. Ranalystix is not affiliated with, approved or endorsed by the SBA or any lender.
- Before any decision you will review the figures with a CPA or a lender and carry out your own due diligence.
7. The AI helper
The application includes an optional AI helper that answers questions about using the application — where something is, what a message means, how a measure is defined — from the application's own guides. It does not see your documents or figures and gives no advice. The text you type, the name of the screen and the last message shown are sent to a third-party language-model provider to produce the answer and are not used to train its models under our agreement with it. AI answers can be incomplete or wrong; they are general orientation only and are not part of the output. Do not type personal or financial information into the helper.
8. Third-party data and services
Industry figures (including the datasets of Prof. Aswath Damodaran, NYU Stern) and measure definitions (including APQC) are shown as published by their owners, may be out of date, and are provided without any warranty from us or from them. Hosting, payment and AI services are provided by third parties named in the Privacy Policy.
9. Acceptable use
You will not, and will not let anyone: (a) use the service unlawfully or to defraud or mislead anyone; (b) upload malware or anything that infringes another person's rights; (c) copy, frame, scrape, reverse-engineer, decompile or build a competing product from the service, except as the law expressly permits despite this restriction; (d) probe, test or circumvent its security, or overload it; (e) share credentials or resell or sublicense the service without our written consent; (f) use the service if you, or anyone owning or controlling your business, are the subject of US sanctions or located in a country or region subject to comprehensive US sanctions, or in breach of US export-control law. You are responsible for all activity under your account and for keeping its credentials secret; tell us at once of any unauthorised use.
10. Subscription, billing, renewal and cancellation
- Price and term. The plan, price, billing frequency and whether it renews are shown to you before you subscribe, and confirmed by email. Prices are in US dollars and exclude taxes, which you pay where applicable.
- Renewal. A subscription renews automatically only if you agreed to renewal when you subscribed. For an annual plan we email a reminder at least 15 and no more than 45 days before renewal with the price and how to cancel.
- Cancellation. You may cancel at any time, online, from the application's account page or by emailing support@ranalystix.com — no reason, call or form needed. Cancellation stops future renewals; the service remains available to the end of the paid period.
- Refunds. If you ask within 14 days of the first payment of a new subscription, we refund that payment in full and the subscription ends. Otherwise fees for a period already begun are not refundable, except where these Terms or the law say otherwise. The Refund Policy on our website sets this out.
- Price changes. We give at least 30 days' notice by email of any price change, which applies from your next renewal; you may cancel before it takes effect.
- Late payment. We may suspend the service after notice if an invoice is more than 30 days overdue.
11. Ownership and feedback
The service, its software, design, methods and documentation belong to us and our licensors. We grant you a non-exclusive, non-transferable right to use the service for your internal business purposes during your subscription. If you send suggestions, we may use them without obligation. We may use aggregated statistics about the operation of the service that do not identify you, any individual or the content of your documents, solely to operate and improve the service.
12. DISCLAIMER OF WARRANTIES
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ANY FIGURE WILL BE READ CORRECTLY, OR THAT THE OUTPUT WILL MEET YOUR NEEDS OR BE ACCEPTED BY ANY THIRD PARTY. The service is developed and updated on an ongoing basis, and features may change.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, FINANCING OR DATA, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND ONE HUNDRED US DOLLARS (US$100). These limits are an essential basis of the bargain, apply even if a limited remedy fails of its essential purpose, and do not limit liability that the law does not allow to be limited. Nothing in this Section limits liability for a party's intentional fraud or willful misconduct.
14. Indemnity
You will defend, indemnify and hold harmless us, our officers, employees and suppliers from any third-party claim, and the resulting losses, costs and reasonable legal fees, arising from: (a) the documents and data you upload, including any claim by an individual whose information they contain; (b) your use of the service or the output, including any reliance on it by a lender, investor, authority or other third party to whom you provided it; (c) any decision to lend, borrow, invest, or buy or sell a business made by you or by anyone to whom you provided the output; (d) your use of another business's documents, including any claim by that business; (e) your breach of these Terms or of law. We will notify you of the claim and let you control its defence, with our reasonable cooperation.
15. No third-party beneficiaries or reliance
These Terms benefit only you and us. No one else — including any lender, investor, auditor, seller or acquirer to whom you show the output, or whose documents you upload — may rely on the service or the output or enforce these Terms.
16. Security and incidents
We maintain administrative, technical and physical safeguards appropriate to the nature of the data, described in the Privacy Policy. No system is perfectly secure and we do not guarantee that unauthorised access will never occur. We will notify you of a security incident affecting your data without undue delay and as the law requires, and cooperate with you in meeting your own obligations.
17. Suspension and termination
You may stop using the service and cancel at any time (Section 10). We may suspend or end your access on notice if you materially breach these Terms and do not cure within 10 days, immediately where necessary to prevent harm or comply with law, or if we discontinue the service, in which case we refund fees prepaid for the unused period. After termination you may download your data for 30 days, after which it is deleted as the Customer Data Addendum sets out. Sections 4, 5, 6, 6A, 6B, 11–15, 19 and 20 survive.
18. Changes to these Terms
We may update these Terms. For a material change we will notify you at least 30 days in advance and ask you to accept the new version before you continue to use the service; the change does not apply to a dispute that arose before it took effect. If you do not accept, you may cancel and receive a pro-rata refund of prepaid fees.
19. DISPUTE RESOLUTION — BINDING INDIVIDUAL ARBITRATION, CLASS-ACTION AND JURY-TRIAL WAIVER
19.1 Talk to us first. Before starting any proceeding, the party with a dispute will send a written notice describing it and the relief sought to the other (info@ranalystix.com for us). The parties will try in good faith to resolve it for 60 days, which suspends any limitation period.
19.2 Arbitration. Any dispute, claim or controversy arising out of or relating to the service or these Terms, including their formation, interpretation, scope or enforceability, that is not resolved under 19.1 will be resolved by final and binding arbitration before a single arbitrator administered by the American Arbitration Association under its Commercial Arbitration Rules (or, if it declines, by JAMS under its Comprehensive Rules). The arbitrator, not a court, decides all questions of arbitrability, except as 19.4 and 19.6 say. The arbitration may be held by video conference or in the county of your principal place of business. The Federal Arbitration Act governs this Section 19.
19.3 Fees. Each party pays its own costs and fees, and filing and arbitrator fees are paid as the rules provide, unless the arbitrator decides otherwise under applicable law.
19.4 CLASS-ACTION WAIVER. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favour of the individual party seeking it and only to the extent needed for that party's claim. If this 19.4 is found unenforceable for a claim, that claim proceeds in court, not in arbitration, and the rest of Section 19 continues to apply to all other claims.
19.5 Mass filings. If 25 or more similar demands are filed by or against either party through the same or coordinated counsel, the AAA will administer them in batches of up to 25, with one arbitrator per batch. Batches proceed at the same time, not one after another; no batch's outcome binds any party to another batch; and the limitation period in 19.9 is suspended for each demand from the day it is filed until its batch is decided. A court may enforce this paragraph.
19.6 Exceptions. Either party may bring an individual claim in a small claims court within its jurisdiction, and either party may seek an injunction in court to protect its intellectual property or confidential information.
19.7 JURY-TRIAL WAIVER. WHERE A DISPUTE PROCEEDS IN COURT FOR ANY REASON, BOTH PARTIES WAIVE ANY RIGHT TO A TRIAL BY JURY.
19.8 30-day opt-out. You may opt out of this arbitration agreement by emailing info@ranalystix.com within 30 days after first accepting these Terms, with your business name and the email used to register. Opting out affects only arbitration; the rest of these Terms, including 19.7, still apply.
19.9 Time to bring a claim. To the extent permitted by law, any claim must be started within one year after it arose, or it is permanently barred.
20. General
Governing law and courts. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for Section 19. The parties choose Delaware law because it gives one well-developed body of commercial law for a provider based outside the United States that serves businesses in every state. Subject to Section 19, the state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to them. Electronic communications. You agree to receive notices, invoices and agreements electronically, and that electronic acceptance is your signature. Notices. To you: the email given at registration; to us: info@ranalystix.com. Force majeure. Neither party is liable for delay caused by events beyond its reasonable control. Assignment. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets on notice. Entire agreement; severability; no waiver. These Terms are the entire agreement on their subject; if a provision is unenforceable it is modified to the minimum extent needed and the rest stand; a failure to enforce is not a waiver. Language.
